Terms of Service

Effective date: 8 June 2026

These Terms of Service (“Terms”) govern your access to and use of the PlaceLocal platform, website, and associated services (collectively, the “Services”) operated by PlaceLocal (“PlaceLocal”, “we”, “us”, or “our”). By accessing or using our Services in any way, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must not use our Services.

Important notice: These Terms constitute a legally binding agreement. We recommend you read them carefully and retain a copy for your records. For questions, contact admin@placelocal.com.au.

1. Acceptance of Terms

By creating an account, accessing our website at https://placelocal.com.au or our application at https://app.placelocal.com.au, or otherwise using any part of the Services, you agree to these Terms. You also agree that your use of the Services constitutes your acceptance of our Privacy Policy and any additional guidelines, policies, or rules posted within the Services.

If you are using the Services on behalf of an organisation, company, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to “you” shall include both you individually and that entity.

Referral partners, affiliate partners, and any parties accessing the Partner Portal additionally agree to the specific terms set out in Section 8 (Referral Partners and Partner Portal) and any supplemental partner agreements provided at onboarding.

2. Description of Services

PlaceLocal is a local business growth network that provides tools and services designed to help businesses build visibility, reputation, and referral networks within their local communities. Our Services currently include, and may in the future expand to include, the following:

  • A public-facing business directory and discovery platform at placelocal.com.au
  • A business management application (the 'App') at app.placelocal.com.au providing CRM, lead management, invoicing, and communications tools
  • Profile and listing management, including profile pages, portfolio showcases, and review/reputation tools
  • Website builder and content management system for business profile micro-sites
  • Partner and referral portal for authorised referral agents
  • Integration with Google services, including Google Authentication, Google Calendar, Google Business Profile API, and Gmail (subject to availability and user authorisation)
  • Integration with third-party platforms including, but not limited to, payment processors, SMS providers, and marketing tools
  • Analytics and reporting dashboards for profile visibility and engagement
  • Email and notification services
  • Any additional features, products, or services we introduce from time to time

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with reasonable notice where practicable. We are not liable to you or any third party for any such modifications, suspensions, or discontinuations.

3. Eligibility

To use the Services, you must be at least 18 years of age, or the age of majority in your jurisdiction if higher. By using the Services, you represent and warrant that you meet this requirement.

The Services are intended for use by individuals and businesses operating lawfully within Australia and other jurisdictions where we make the Services available. You are responsible for ensuring your use of the Services complies with all applicable laws and regulations in your jurisdiction.

We reserve the right to refuse access to the Services to any person or entity at our sole discretion.

4. Account Registration and Security

4.1 Registration

To access most features of the Services, you must create an account. When registering, you agree to provide accurate, current, and complete information and to keep that information updated. You may register using your email address and a password, or via Google OAuth (see Section 10).

4.2 Email Verification

Upon registration, you may be required to verify your email address before gaining full access to the Services. We reserve the right to restrict access to unverified accounts.

4.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at admin@placelocal.com.au if you suspect any unauthorised use of your account or any other security breach.

We are not responsible for any loss or damage arising from your failure to protect your account credentials.

4.4 One Account Per User

You may not create multiple accounts for the same individual or business without our express written permission. We reserve the right to merge or terminate duplicate accounts.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Services in any way that violates any applicable local, state, national, or international law or regulation
  • Post, upload, or transmit content that is defamatory, fraudulent, misleading, obscene, hateful, threatening, or that infringes any intellectual property rights
  • Impersonate any person or entity, or falsely represent your affiliation with any person or entity
  • Engage in any conduct that restricts or inhibits any other user's enjoyment of the Services
  • Use automated bots, scrapers, or other automated means to access or collect data from the Services without our express written consent
  • Attempt to gain unauthorised access to any part of the Services, any account, computer system, or network connected to our servers
  • Transmit any viruses, malware, or other harmful code
  • Use the Services to send unsolicited communications (spam) of any kind
  • Manipulate or falsify reviews, ratings, or engagement metrics
  • Use the Services to facilitate illegal activity of any kind
  • Circumvent any security features, geographic restrictions, or other access controls
  • Resell or sublicense access to the Services without our prior written authorisation

Violation of this section may result in immediate suspension or termination of your account at our discretion, without refund.

6. Content and Intellectual Property

6.1 Our Intellectual Property

The Services and all content and materials within them — including but not limited to text, graphics, logos, icons, images, software, code, design elements, and trademarks — are owned by or licensed to PlaceLocal and are protected by applicable copyright, trademark, and other intellectual property laws. You may not reproduce, modify, distribute, or create derivative works without our express written permission.

6.2 Your Content

You retain ownership of content you submit to the Services (“Your Content”), including business information, images, descriptions, reviews, and other materials. By submitting Your Content, you grant PlaceLocal a non-exclusive, worldwide, royalty-free, sublicensable, and transferable licence to use, reproduce, modify, adapt, publish, translate, distribute, and display Your Content in connection with operating and promoting the Services.

You represent and warrant that you have all rights necessary to grant this licence, and that Your Content does not violate the rights of any third party.

6.3 Prohibited Content

You must not submit content that:

  • Is false, misleading, or deceptive
  • Infringes any intellectual property, privacy, or other rights of any person
  • Contains personal information of others without their consent
  • Is illegal, harmful, or offensive
  • Promotes discrimination, hate, or violence

6.4 Content Removal

We reserve the right to remove or disable any content that we determine, in our sole discretion, violates these Terms or is otherwise harmful to our users, third parties, or the Services.

7. Business Profiles and Listings

Businesses registered on PlaceLocal agree that their profile information — including business name, contact details, service descriptions, trading hours, service area, photos, and reviews — may be displayed publicly on the platform and through connected Google Business Profile integrations where authorised.

You are responsible for ensuring that all profile information is accurate, up to date, and complies with applicable laws, including consumer protection and advertising regulations.

Reviews and ratings submitted by end users are user-generated content. While we aim to maintain the integrity of our review system, we do not verify the accuracy of reviews and are not responsible for their content. Businesses must not solicit fraudulent reviews or attempt to manipulate ratings.

We reserve the right to moderate, edit, or remove listings that violate these Terms or applicable law.

8. Referral Partners and Partner Portal

8.1 Eligibility and Onboarding

The PlaceLocal Partner Portal is available to authorised referral partners who have completed our onboarding process and agreed to any supplemental partner terms. Access is granted at our sole discretion and may be revoked at any time.

8.2 Mandatory Consent

All referral partners must agree to these Terms of Service and our Privacy Policy as a condition of accessing the Partner Portal. By accessing the portal, partners confirm their ongoing agreement to all applicable terms.

8.3 Partner Conduct

Partners must:

  • Represent PlaceLocal and the Services honestly and accurately in all communications
  • Not make promises or representations on our behalf that exceed what we explicitly authorise
  • Comply with all applicable laws, including anti-spam, consumer protection, and privacy laws, when promoting the Services
  • Not engage in high-pressure sales tactics, misleading advertising, or conduct that could damage PlaceLocal's reputation
  • Maintain confidentiality of any non-public information shared in the portal

8.4 Referral Commissions

Referral commission rates, payment schedules, and qualifying conditions are set out in the Partner Dashboard and any supplemental partner agreement. We reserve the right to modify commission structures with reasonable notice. No commission is payable where a referral does not result in a qualifying subscription, or where the referral violates these Terms.

8.5 Termination of Partner Access

We may suspend or terminate partner access at any time for violation of these Terms, conduct detrimental to PlaceLocal, or for any other reason at our sole discretion. Outstanding commissions for qualifying referrals completed prior to termination will be honoured in accordance with the agreed payment schedule.

9. Subscriptions, Billing, and Payments

9.1 Plans

PlaceLocal offers free and paid subscription plans. Current plans and their included features are described on our Pricing page. Plan features and pricing may be updated from time to time in accordance with clause 9.3.

9.2 Billing Cycle

Paid subscriptions are billed in advance on a monthly basis. By providing payment details and subscribing, you authorise us (or our payment processor, Square) to charge the applicable fees to your nominated payment method on a recurring monthly basis until you cancel your subscription or your subscription is otherwise terminated.

9.3 Price Changes

We may change subscription prices at any time. We will provide at least 30 days’ written notice of price changes to active subscribers via email or in-app notification. Continued use of the Services after the effective date of a price change constitutes your acceptance of the new pricing.

9.4 Upgrades

You may upgrade your subscription plan at any time through your account settings. When you upgrade:

  • The new higher-tier plan takes effect immediately upon successful payment.
  • You will be charged the full monthly price for the new plan on the date of upgrade. No credit or refund is provided for any unused portion of your previous billing period.
  • Your next monthly billing date resets to the date of upgrade.
  • Access to the upgraded plan features is granted immediately.

9.5 Downgrades

You may request a downgrade to a lower-tier plan at any time through your account settings. When you downgrade:

  • The downgrade is scheduled to take effect at the end of your current billing period.
  • You retain full access to your current plan features until the end of the paid period.
  • No refund is provided for the remaining days of your current billing period.
  • On your next billing date, you will be charged the price for the lower-tier plan.

9.6 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at admin@placelocal.com.au. When you cancel:

  • Cancellation takes effect at the end of your current billing period.
  • You retain access to paid features until the end of the period you have already paid for.
  • No refund is provided for any unused portion of your current billing period unless required by applicable law.
  • Upon cancellation taking effect, your business profile will be unpublished from the PlaceLocal directory. Your account data is retained for 90 days, after which it may be permanently deleted.
  • You may re-subscribe at any time to restore access and republish your profile.

9.7 Failed Payments and Grace Period

If a scheduled payment fails, the following applies:

  • We will notify you by email and attempt to retry the payment.
  • You will have a grace period of 7 days from the payment failure date to resolve the issue.
  • During the grace period, you retain access to your paid plan features.
  • If payment is not resolved within 7 days, your account will be downgraded to the free tier and access to paid features will be restricted.
  • If payment is subsequently resolved (either by a successful retry or by re-subscribing), your account will be restored to the applicable paid plan.
  • We reserve the right to terminate accounts with repeated or unresolved payment failures.

9.8 No Proration

Except as required by applicable law, we do not provide prorated refunds or credits for partial billing periods, including on upgrade, downgrade, or cancellation. The full monthly fee is charged for each billing cycle regardless of when within the cycle a plan change occurs.

9.9 Taxes

All fees are quoted in Australian dollars (AUD) and are exclusive of GST and other applicable taxes unless otherwise stated. Where GST applies, it will be added to the applicable fee. You are responsible for all taxes associated with your use of the Services in your jurisdiction.

9.10 Payment Processing

Payments are processed by Square (square.com), our third-party payment processor. We do not store your full card details on our servers. Payment processing is subject to Square’s own terms of service and privacy policy. By subscribing, you also agree to be bound by Square’s applicable terms.

9.11 Refund Policy

All subscription fees are non-refundable except where required by the Australian Consumer Law or other applicable consumer protection legislation. If you believe you are entitled to a refund under applicable law, please contact us at admin@placelocal.com.au.

10. Google Services Integration

10.1 Google Authentication (OAuth)

PlaceLocal offers the option to sign in using your Google account via Google OAuth 2.0. By using Google Sign-In, you authorise us to access basic profile information (name, email address, and profile picture) associated with your Google account. We use this information solely to create and manage your PlaceLocal account.

10.2 Google Calendar

Where you choose to connect Google Calendar, PlaceLocal may access, create, modify, or delete calendar events on your behalf to facilitate appointment scheduling, reminders, and business management features. Access is scoped to the permissions you explicitly grant and can be revoked at any time through your Google account settings or your PlaceLocal account settings.

10.3 Gmail

Where you choose to connect Gmail, PlaceLocal may access your Gmail account to send emails on your behalf (e.g., client communications, invoices, or automated notifications), and in some cases to read emails relevant to integrated workflows. We will only request the minimum permissions necessary for the features you choose to use. You can revoke access at any time.

10.4 Google Business Profile API

We may integrate with the Google Business Profile API to allow businesses to manage their Google Business Profiles directly from within PlaceLocal. This integration is subject to Google’s terms of service and your authorisation. PlaceLocal acts as an authorised manager of your Google Business Profile only to the extent you explicitly permit.

10.5 Future Google Integrations

We may introduce additional Google service integrations in the future (including but not limited to Google Ads, Google Analytics, Google Drive, or Google Workspace integrations). Any new integration will be clearly disclosed and will require your explicit authorisation before access is granted.

10.6 Google API Data Use Policy

Our use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. We do not use Google user data to serve advertisements, and we do not sell Google user data to third parties.

10.7 Revoking Google Access

You may revoke PlaceLocal’s access to your Google account at any time by visiting your Google Account permissions page or through your PlaceLocal account settings. Revoking access will disable features that depend on the relevant Google integration.

11. Third-Party Services and Integrations

The Services may integrate with or link to third-party services, platforms, and applications. These integrations are provided for your convenience and are subject to the third party’s own terms of service and privacy policies. We are not responsible for the practices of third-party services, and your use of them is at your own risk.

Current and potential third-party integrations include, but are not limited to:

  • Payment processors (for subscription billing and invoicing)
  • SMS and communication providers
  • Email delivery services
  • Google Workspace services (as described in Section 10)
  • Social media platforms (Facebook, Instagram, LinkedIn, etc.) for profile linking and future integrations
  • Mapping and geolocation services
  • Analytics and tracking platforms (as described in Section 12)
  • Cloud infrastructure and hosting providers (including Supabase for database and authentication services, and Vercel for hosting)
  • Customer support tooling
  • Any other integrations introduced as our Services evolve

We will update this section or our Privacy Policy when significant new third-party integrations are introduced.

12. Analytics and Tracking Technologies

We use analytics and tracking technologies to understand how the Services are used, improve user experience, and, where applicable, support marketing activities. These may include:

  • Vercel Analytics — server-side and client-side analytics for understanding page performance and user flows on placelocal.com.au. This is enabled on the marketing website only.
  • Google Analytics — we may use Google Analytics or Google Tag Manager to collect aggregated usage data about visitors to our marketing site. This may involve the use of cookies and device identifiers.
  • Facebook Pixel — we may deploy the Facebook Pixel on our marketing website to measure the effectiveness of advertising campaigns, build custom audiences, and enable retargeting. The Pixel may collect browsing behaviour data and share it with Meta Platforms.
  • Google Ads Conversion Tracking — we may use Google's conversion tracking tag to measure actions taken after clicking on our ads.
  • Hotjar or similar session recording tools — we may use session recording tools to replay user sessions (in anonymised form) to improve usability.
  • Any additional analytics or advertising technologies we introduce in the future.

Where required by law, we will seek your consent before deploying non-essential tracking technologies. You can manage your cookie and tracking preferences through our cookie settings (see Section 13) or by adjusting your browser settings.

13. Cookies and Session Data

13.1 What Are Cookies

Cookies are small text files placed on your device by websites you visit. They are widely used to make websites function correctly, to improve performance, and to provide information to site owners.

13.2 Essential Cookies (Strictly Necessary)

By accessing and using the PlaceLocal platform and application, you agree to the use of strictly necessary session cookies and similar technologies required for the Services to function. These cookies cannot be disabled without significantly impairing your ability to use the Services. They include:

  • Authentication session cookies — to keep you logged in and maintain your session securely
  • Security cookies — to prevent cross-site request forgery (CSRF) and other attacks
  • Preference cookies — to remember your settings and configuration within the App
  • Load balancing cookies — to ensure optimal performance across our infrastructure

13.3 Analytics and Performance Cookies

We may use analytics cookies to understand how visitors interact with the Services. Where required, we will request your consent before placing these cookies.

13.4 Marketing and Advertising Cookies

We may use third-party marketing cookies (including those set by Facebook and Google) to deliver relevant advertising, measure campaign effectiveness, and build marketing audiences. Where required by law, these cookies will only be placed with your explicit consent.

13.5 Managing Cookies

You may control cookies through your browser settings. Please note that disabling certain cookies may affect the functionality of the Services. Browser-specific instructions for managing cookies are available on the respective browser’s support pages.

13.6 Do Not Track

Some browsers transmit a “Do Not Track” signal. We currently do not alter our data collection practices in response to Do Not Track signals, though we will reassess this as industry standards evolve.

14. Data and Privacy

Your privacy is important to us. Our Privacy Policy describes in detail what personal information we collect, how we use it, how we protect it, and your rights in relation to it. Key principles include:

  • We collect only the information necessary to provide and improve the Services
  • We do not sell your personal information to third parties
  • We do not share your personal information with third parties except as described in our Privacy Policy (e.g., with service providers who assist in operating the platform)
  • We implement reasonable security measures to protect your data
  • You have the right to access, correct, or request deletion of your personal information in accordance with applicable law

By using the Services, you agree to the collection and use of information in accordance with our Privacy Policy.

15. Service Availability and Modifications

We strive to maintain high availability of the Services but do not guarantee uninterrupted or error-free access. The Services may be temporarily unavailable due to scheduled maintenance, unplanned outages, or circumstances beyond our control.

We reserve the right to modify, update, or discontinue any feature of the Services at any time. Where we make material changes that adversely affect your use of paid features, we will provide reasonable advance notice.

We are not liable for any losses or damages arising from service interruptions or changes.

16. Termination and Suspension

16.1 Termination by You

You may close your account at any time by contacting us at admin@placelocal.com.au or through the account settings within the App.

16.2 Termination by Us

We reserve the right to suspend or terminate your account and access to the Services at any time, with or without cause, including but not limited to:

  • Violation of these Terms
  • Conduct that we determine is harmful to other users, third parties, or our business
  • Failure to pay subscription fees
  • Legal or regulatory requirements
  • Extended periods of inactivity

16.3 Effect of Termination

Upon termination, your right to access and use the Services ceases immediately. We may delete your account data in accordance with our data retention practices described in the Privacy Policy. Sections of these Terms that by their nature should survive termination will remain in effect.

17. Limitation of Liability and Disclaimers

17.1 Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be error-free, secure, or uninterrupted.

17.2 Limitation of Liability

To the maximum extent permitted by applicable law, PlaceLocal and its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising out of or related to your use of or inability to use the Services, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising under or related to these Terms or the Services shall not exceed the greater of (a) the total amounts you have paid to us in the 12 months preceding the claim, or (b) AUD $100.

17.3 Third-Party Content

We are not responsible for the accuracy, completeness, or reliability of any content submitted by users or third parties, including business listings, reviews, and ratings.

17.4 Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any rights or remedies you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or other applicable consumer protection legislation that cannot be lawfully excluded.

18. Indemnification

You agree to indemnify, defend, and hold harmless PlaceLocal and its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms, your use of the Services, Your Content, or your violation of any third-party rights.

19. Governing Law and Dispute Resolution

19.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Victoria, Australia, without regard to conflict of law principles.

19.2 Dispute Resolution

In the event of a dispute arising from these Terms or the Services, the parties agree to first attempt to resolve the dispute through good faith negotiation. If the dispute cannot be resolved within 30 days, either party may refer the matter to mediation in accordance with the rules of an appropriate Australian mediation body, before initiating formal legal proceedings.

19.3 Jurisdiction

You consent to the exclusive jurisdiction of the courts of Victoria, Australia for any legal proceedings that cannot be resolved through negotiation or mediation.

20. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by updating the effective date at the top of this page and, where appropriate, by sending you an email notification. We may also display a notice within the Services.

Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services.
